Whether NC A&T Board of Trustees' alleged August
22nd, 2003 Resolution requesting establishing a
joint Millennial Campus in terms of the Central
School of the Deaf property is valid,
unmistakable having been informed by Chancellor
Renick that members of the Board of Trustees
plan to meet informally with UNCG about the
possibility of establishing a joint millennial
campus on the farm property, NC A&T BOT August
22nd resolution explicably rejected farm
property as part of a joint millennial campus. |

creation of nonprofit is G.S. 116-30.20
(2005-276,s.9.22) that provides " The Board of
Governors of The University of North Carolina
shall encourage the establishment of private,
nonprofit corporations to support the
constituent institutions of The University of
North Carolina and The University System. The
President of The University of North Carolina
and the Chancellors of the constituent
institutions may assign employees to assist with

Alleged NC A&T University
Board of Trustees Resolution dated August 22, 2003 vote
may have taken place at an informal gathering at Stoney
Creek Golf Club rather than a BOT Meeting. NC A&T
2002-03 State Audit Report list Velma Speight Buford as
Vice Chair instead of Secretary as signed on the
resolution. Records received from NC A&T recording
secretary indicate non sworn new board members
participated in alleged resolution vote.

First Regular Board of Trustees Meeting took place Sept.
24, 2003 where new board members were sworn in and
officers elected. At
the first meeting after June 30 of each year, the Board
of Trustees shall elect from its membership a Chair, a
Vice Chair and a Secretary. (See G.S. 116-32)

Chancellors announced a two campus Joint Millennial
Campus called the Greensboro Center for Innovative.
As
Natural persons, August 6, 2003, Universities
Chancellors Dr. Patricia Sullivan and Dr. James Renick
signed off on
Articles of Incorporation of Nonprofit Greensboro
Center for
Innovative Development. NC A&T Lesley A. Renwick ,
August 09, 2003, email to Carolyn Meyers: " Attached you
will find documents shared between Skip Capone (UNC-G
Atty.) and I for our Boards of Trustees regarding the
creation of the Joint Millennial Campus.
I understand that the Chancellors and Provosts have
already approved the Articles of Incorporation and Bylaw
drafts that Skip and I created." |

alleged Board of Trustees Resolution dated Aug.
22, 2003 and UNC-G Board of Trustees' Resolution
dated Aug. 28th, 2003 stated in part: |
- Whereas
the General Assembly had expressly
authorized two or constituent institutions
to create a Joint Millennial Campus " on
recommendation made by the President of The
University of North (to the UNC Board of
Governors) after consultation by the
President with the Chancellor and the Board
of Trustees of a constituent institution,"
North Carolina General Statute 116.34(8b).
- Whereas
the nonprofit corporation to be created for
management of the Joint Millennial Campus
will be the entity designated to accept
transfer of the North Carolina School for
the Deaf from the UNCG Board of Governors.
- Now
Therefore be it resolved that North Carolina
A&T State University( The University of
North Carolina Greensboro) is authorized to
join with The University of North Carolina
and North Carolina A&T State University) At
Greensboro in seeking approval fro the
President and Board of Governors of UNC,
pursuant to NC General Statute
116.198.34(8b), for the creation of a Joint
Millennial Campus and the necessary

item #1 lacked expression "designation shall be
based on an express finding by the Board of
Governors that the institution desiring to
create a "Millennial Campus" has the
administrative and fiscal capability to create
and maintain such a campus". UNC
constituent institutions lacked legal authority

of nonprofit for management of the Joint
Millennial Campus and item "3 referring to
